1. Introduction and Acceptance of Terms

Welcome to Slap & Roll Co. ("we," "us," "our," or the "Service"), a service operated by ModalForge, LLC ("ModalForge"), a limited liability company. These Terms of Service ("Terms") govern your access to and use of the Slap & Roll Co. website located at slapandroll.com, app.slapandroll.com, and all related services, features, and content (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the modified Terms.

2. Description of Service

Slap & Roll Co. provides a software-as-a-service platform that enables users to:

Upload scanned images of FBI FD-258 fingerprint cards
Receive automated quality analysis of fingerprint images using the NIST Fingerprint Image Quality (NFIQ) algorithm
Generate Electronic Fingerprint Transmission (EFT) files from processed fingerprint card images
View and edit existing EFT files using our free EFT Editor tool

The Service is designed to assist users in preparing fingerprint data for electronic submission. The Service is a file conversion and processing tool only.

3. Important Disclaimers and Limitations

3.1 No Guarantee of Compliance or Acceptance

THE SERVICE DOES NOT GUARANTEE, WARRANT, OR REPRESENT THAT ANY EFT FILE GENERATED THROUGH THE SERVICE WILL:

Be compliant with any specific regulatory requirements, including but not limited to FBI Electronic Biometric Transmission Specification (EBTS), ATF eForm requirements, or any other federal, state, or local standards
Be accepted by the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF), Federal Bureau of Investigation (FBI), or any other government agency
Meet the requirements of any specific form submission, application, or regulatory process
Result in the approval of any license, permit, registration, or other regulatory filing

You acknowledge and agree that:

The Service is a file processing and conversion tool only
We have no control over the acceptance criteria used by any government agency
Regulatory requirements may change without notice
The suitability of generated EFT files for any particular purpose is solely your responsibility to verify
We do not provide legal, regulatory, or compliance advice

3.2 No Guarantee of Fingerprint Quality

While the Service provides quality analysis using the NFIQ algorithm, this analysis is provided for informational purposes only. We make no representations or warranties that:

Fingerprints analyzed as "good quality" will be accepted by any agency
The NFIQ scores accurately predict acceptance or rejection by any third party
The quality analysis is suitable for any particular regulatory or legal purpose

3.3 User Responsibility for Data Accuracy

YOU ARE SOLELY RESPONSIBLE FOR:

The accuracy, completeness, and legality of all data you enter into the Service
Ensuring that all biographic information (name, address, date of birth, Social Security Number, etc.) entered into the EFT generation process is accurate and truthful
Verifying that the fingerprints submitted are your own or that you have proper legal authorization to submit them
Compliance with all applicable laws and regulations regarding the submission of fingerprint and biographic data

Because EFT file generation occurs entirely within your web browser, we have no visibility into or control over the biographic data you enter. We cannot verify the accuracy of your submissions and bear no responsibility for errors or inaccuracies in data you provide.

4. Prohibited Uses

You agree NOT to use the Service to:

4.1 Fraudulent or Unauthorized Use

Submit fingerprints belonging to any person other than yourself without proper legal authorization
Create EFT files containing false, misleading, or fraudulent information
Impersonate any person or entity
Use another person's identity or biometric data without their explicit consent

4.2 Illegal Activities

Engage in any activity that violates applicable federal, state, local, or international laws or regulations
Facilitate, promote, or assist in any illegal activity
Circumvent, disable, or interfere with any security features of the Service
Use the Service in connection with any criminal enterprise or activity

4.3 Technical Interference

Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks
Use any robot, spider, scraper, or other automated means to access the Service
Interfere with or disrupt the Service or servers or networks connected to the Service
Introduce viruses, malware, or other harmful code
Reverse engineer, decompile, or disassemble any portion of the Service

4.4 Misuse of Service

Use the Service for any purpose other than its intended purpose
Resell, redistribute, or commercially exploit the Service without our written consent
Use the Service to process fingerprints for commercial purposes on behalf of third parties without a Pro subscription or appropriate licensing agreement

Violation of these prohibitions may result in immediate termination of your access to the Service, legal action, and/or referral to law enforcement authorities.

5. Account Registration and Security

5.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your login credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

5.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

5.3 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination:

Your right to use the Service will immediately cease
You will remain liable for any outstanding fees
Provisions of these Terms that by their nature should survive termination will survive

6. Pricing, Payment, and Subscriptions

6.1 Pricing

The Service offers the following pricing options:

Pay As You Go: A per-card fee providing access to download EFT files for a single submission
Pro Subscription: A monthly subscription for unlimited EFT file generation

Current pricing is displayed on our website at https://slapandroll.com. Prices are subject to change. We will provide notice of price changes before they take effect for existing subscribers.

6.2 Payment Processing

All payments are processed through Stripe, Inc. ("Stripe"). By making a payment, you agree to Stripe's terms of service and privacy policy. We do not directly collect, store, or process your payment card information.

6.3 Subscriptions

Pro subscriptions are billed monthly. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings. Upon cancellation:

You will retain access to Pro features until the end of your current billing period
No refunds will be provided for partial months
You will not be charged for subsequent billing periods

6.4 Refund Policy

All sales are generally final. Due to the digital nature of the Service and immediate delivery of EFT files:

We do not offer refunds for Pay As You Go purchases after an EFT file has been generated
We do not offer refunds for subscription fees
If you experience a technical issue that prevents you from receiving a purchased service, please contact us within 7 days to request a review

ATF eForm Rejection Refund: If your ATF eForm submission is rejected explicitly due to an invalid or non-compliant EFT file generated by our Service, we will issue a refund for the affected submission. To request this refund, you must:

Contact us at [email protected] within 30 days of the rejection
Provide documentation of the rejection (screenshot or copy of the ATF rejection notice)
The rejection notice must specifically cite the EFT file as the reason for rejection

This refund policy does not apply to rejections based on:

Fingerprint quality issues
Inaccurate or incomplete biographic information you entered
Any other reason unrelated to the technical validity of the EFT file format itself

6.5 Free Features

The quality check feature and EFT Editor are provided free of charge. We reserve the right to modify, limit, or discontinue free features at any time without notice.

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all content, features, and functionality (including but not limited to all information, software, code, text, displays, images, video, audio, design, selection, and arrangement), is owned by ModalForge, LLC and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 License to Use Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

7.3 Your Content

You retain ownership of any content you upload to the Service (including fingerprint images). By uploading content, you grant us a limited license to process, store, and transmit that content solely as necessary to provide the Service to you.

7.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without any obligation to you.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE
WARRANTIES THAT ANY EFT FILES GENERATED WILL BE ACCEPTED BY ANY GOVERNMENT AGENCY OR THIRD PARTY
WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you. In such cases, our liability is limited to the maximum extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 No Consequential Damages

IN NO EVENT SHALL MODALFORGE, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
DAMAGES RESULTING FROM ANY CONTENT OBTAINED FROM THE SERVICE
DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
DAMAGES RESULTING FROM THE REJECTION OR NON-ACCEPTANCE OF ANY EFT FILE BY ANY GOVERNMENT AGENCY OR THIRD PARTY
DAMAGES RESULTING FROM DELAYS IN PROCESSING APPLICATIONS OR REGULATORY FILINGS

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Maximum Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF:

THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR
ONE HUNDRED DOLLARS ($100)

9.3 Essential Purpose

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW AND SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

9.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to defend, indemnify, and hold harmless ModalForge, LLC, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights
Your violation of any applicable laws or regulations
Any content you upload to the Service
Any inaccurate, false, or fraudulent information you provide
Your use of EFT files generated through the Service
Any third-party claims related to your regulatory filings or applications
Any unauthorized use of another person's fingerprints or identity through your account

11. Third-Party Services

11.1 Third-Party Integrations

The Service utilizes third-party services, including:

Stripe, Inc. for payment processing
Google Cloud Platform (GCP) for cloud infrastructure and data storage
Firebase for authentication and database services

Your use of these third-party services is subject to their respective terms of service and privacy policies.

11.2 Government Agencies

The Service is not affiliated with, endorsed by, or sponsored by the ATF, FBI, or any other government agency. References to government forms, specifications, or processes are for informational purposes only.

11.3 No Endorsement

We do not endorse, warrant, or guarantee any third-party products, services, or content. Any dealings with third parties are solely between you and such third parties.

12. Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

12.2 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] to attempt to resolve any dispute informally. We will attempt to resolve the dispute through good faith negotiations for at least thirty (30) days.

12.3 Binding Arbitration

If we cannot resolve a dispute informally, you and ModalForge, LLC agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.

12.4 Class Action Waiver

YOU AND MODALFORGE, LLC AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

12.5 Exceptions

Either party may bring suit in court to: (i) seek injunctive or other equitable relief to protect intellectual property rights; or (ii) pursue claims in small claims court if the claim qualifies.

12.6 Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of first accepting these Terms. Your notice must include your name, address, email address, and a clear statement that you wish to opt out of arbitration.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ModalForge, LLC regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by us.

13.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, pandemics, or internet or telecommunications failures.

13.6 Notices

We may provide notices to you via email, posting on the Service, or other reasonable means. Notices to us must be sent to:

13.7 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and ModalForge, LLC.

13.8 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
